M&A

We have wide-reaching experience in this type of transactions, both from the point of view of the purchaser and of the seller. We take an active role in the negotiation and drafting of the usual preliminary agreements – MoUs, LoIs, NDAs or exclusivity agreements. We carry out the necessary due diligence exercises in the most efficient and swift manner, identifying the relevant aspects of the target company and any possible contingencies. We also prepare and organize data rooms for the seller to facilitate the due diligence. We take part in the negotiation and execution of all relevant documents and agreements, and advice on all aspects of the transaction through to completion.

Tax Planning

We design efficient structures to reinforce the legal position of our clients and minimize the tax burden of the relevant project. Regarding M&A projects, we carry out analysis to identify the most suitable structure for the acquisition (purchase of assets vs. shares), distribution of dividends abroad with the least possible tax burden, potential future plans taking into account potential chaning scenarios (sale, partial assignment, divestment, extension of the original investment, incorporation of new shareholders), the tax treatment of the financing for the project, etc.
